The the answers to your questions are:
1. You will retain your revision history, but with the date/time stamps when added/checked in to StarTeam.
2. As far as how long it will take obviously depends on the number of files & revisions of those files. It will affect your ongoing development as you cannot have users check files in during the conversion process!
