I'm still investigating your first problem and will get back as soon as I have an answer for you.

Your second problem with shutting down the StarTeam Service properly is most likely a result of the "Interact with Desktop" setting. In StarTeam 4.2, when the Server is set to run as an NT Service, a default "Interact with Desktop" setting is checked in the service's properties.
When you exit the desktop (either for a reboot or just to logoff), the service will try to stop (hence the "interact with desktop"). If there are still users connected, this will cause the "End Task" dialog, which sounds like what is happening to you.
Solution: Go to the service's properties and uncheck "Interact with Desktop".
